About the Role
As Legal Counsel specialising in M&A Transactions, you will support and advise on domestic and cross-border mergers, acquisitions, divestitures, joint ventures and strategic corporate transactions. You will work closely with executive leadership, deal teams and external legal advisors across the transaction lifecycle—providing legal insight, risk assessment and structured solutions aligned to commercial and strategic objectives. This role offers high exposure to complex structuring, negotiations and regulatory considerations within a dynamic international deal environment.
Key Responsibilities
- Advise internal stakeholders on all legal aspects of M&A activity including acquisitions, divestitures, carve-outs, joint ventures and strategic partnerships
- Lead or support drafting, review and negotiation of transaction documentation including NDAs, LOIs, term sheets, SPAs, shareholder agreements and ancillary contracts
- Conduct and coordinate legal due diligence activities across multiple jurisdictions, identifying risks, mitigation strategies and structural considerations
- Partner with tax, compliance, finance and corporate governance teams to ensure alignment on regulatory obligations, structuring, filings and internal approvals
- Support post-transaction integration including transitional services agreements, governance frameworks, risk allocation and legal implementation tasks
- Provide interpretation and analysis on regulatory and legal developments impacting M&A activity, competition law, data protection, corporate governance and cross-border compliance
- Manage relationships with external counsel, ensuring alignment with internal priorities, documentation standards and execution timelines
- Contribute to process improvement initiatives, knowledge sharing, internal legal frameworks and playbooks to enhance consistency and efficiency across deal workstreams

Who You Are
- Law degree with bar qualification in Germany or another EU jurisdiction (additional international qualifications are beneficial)
- 6–10+ years of professional experience in M&A, corporate law or transactional advisory, ideally within a top-tier law firm, corporate legal department or international business environment
- Strong understanding of cross-border transaction structures, corporate governance principles, regulatory processes and negotiation frameworks
- Proven ability to review, draft and negotiate complex agreements with clarity, commercial perspective and attention to detail
- Strong communication skills, with the ability to translate legal positions into practical guidance for non-legal stakeholders
- Ability to manage competing priorities, navigate time-sensitive matters and operate effectively in a fast-paced transaction environment
